CORRUPTION
1. Introduction
1.1 This Policy has been produced to provide guidance on business ethics. It supplements the principles set out in the Code of Conduct to show that all Group entities operate fairly, transparently and with integrity.
The aim of this policy is to:
ensure that Group and its subsidiaries comply fully with all applicable laws and operate to ethical standards wherever they conduct business; and set out our responsibilities, and those working for us, in observing and upholding our position on bribery and corruption; and provide information and guidance to those working for us on how to recognize and deal with bribery and corruption issues.
2. Scope
2.1 These Guidelines apply to all employees of the Company, and where appropriate, to third parties performing services for the Company.
2.2 These Guidelines apply throughout the Group irrespective of the country where business is conducted and/or a particular business unit is situated. The principles contained in these Guidelines must be applied in all countries, even if they are more stringent than local law. Where local laws are more stringent than these Guidelines, then they must also be complied with.
2.3 Everyone at the Company must show that all business is performed to the highest ethical standards and complies both with these Guidelines and all applicable laws.

1. Введение
1.1. В настоящей Политике представлены правила деловой этики. Данные правила призваны дополнить нормы, установленные Кодексом поведения, и показать, что все компании, входящие в состав Корпорации, ведут бизнес честно, открыто и добросовестно.
Цель настоящей политики заключается в следующем:
обеспечить полное соблюдение Корпорацией и дочерними компаниями действующих законов и этических норм во всех аспектах деловой деятельности;
определить обязательства Компании и сотрудников Компании в отношении соблюдения правил и выполнения обязательств по противодействию взяточничеству и коррупции;
предоставить сотрудникам Компании информацию и рекомендации о том, как следует определять и разрешать проблемы взяточничества и коррупции.
2. Сфера действия
2.1. Настоящие Правила распространяются на всех сотрудников Компании, а также в соответствующих случаях на третьих лиц, предоставляющих услуги Компании.
2.2. Настоящие Правила являются обязательными для всех подразделений Корпорации независимо от страны ведения коммерческой деятельности и/или местоположения. Нормы, предписанные настоящими Правилами, должны соблюдаться во всех странах, даже в тех случаях, когда местные законы являются менее строгими. Если в какой-либо конкретной стране применяются более строгие законы, их также необходимо соблюдать.
2.3. Действия всех сотрудников Компании должны демонстрировать соответствие самым высоким этическим нормам и отвечать требованиям настоящих Правил и действующего законодательства.

Source text - English Document the relationship in a written agreement, ensuring standard contractual protections. In addition to the arrangement's commercial terms, the contract should also contain appropriate guaranties from the Agent concerning past and future compliance with anti-bribery laws.
Furthermore the contract should contain at least the following provisions:
All payments to the agent shall be by wire transfer to the bank account specified in the Agency agreement (i.e. no payments may be made in cash or bearer instruments);
No payments may be made payable to any party other than the agent at the agent's normal place of business;
No payments may be made to an account outside of the country where the agent performs services;
Travel and entertainment expenses will be reimbursed only when supported by detailed records;
The agent shall not assign or sub-contract work under the contract without the prior approval of the Company;
The agent shall maintain accurate books and records; and the Company shall have reasonable access to the agent's books and records and the right to audit them on a periodic basis.
These contract provisions help communicate our expectations and permit the Company to monitor for and prevent violations of our standards.
Any exceptions to the above must be approved by Senior Management. You should feel free to consult with Group and divisional legal teams if you have questions about the application of the policies.
Translation - Russian Деловые взаимоотношения должны быть письменно оформлены договором, обеспечивающим стандартную правовую защиту. Помимо коммерческих условий, договор также должен содержать соответствующие гарантии Агента касательно соблюдения антикоррупционного законодательства, как в прошлом, так и в будущем.
Кроме того, договор должен включать, по меньшей мере, следующие положения:
Любые платежи в адрес агента осуществляются путем банковского перевода на счет, указанный в Агентском договоре (т.е. платежи наличными или в виде документов на предъявителя запрещены).
Запрещается перечислять платежи в адрес любых лиц, за исключением агента по обычному месту нахождения.
Платежи осуществляются только на банковский счет, открытый в стране оказания услуг агентом.
Командировочные и представительские расходы возмещаются только в случае наличия документального подтверждения.
Агент не имеет права передавать часть работы по договору или заключать договора с субподрядчиками без предварительного письменного разрешения Компании.
Агент обязан вести бухгалтерский учет и точную отчетность, при этом Компания, в обоснованных случаях, имеет право проверять бухгалтерские книги и отчетность агента и периодически проводить аудиты.
Изложенные выше положения дают агентам представление о требованиях Компании, а Компании — возможность контролировать и предупреждать нарушение своих стандартов.
Любые исключения должны быть одобрены высшим исполнительным руководством. По всем вопросам в отношении практического применения политик следует обращаться в юридический отдел соответствующего подразделения или Корпорации.
