Hi all -
I am translating a legal contract from French (France) into English. It involves a large company taking on someone as a subcontractor to do sales/promotion work.
He will be receiving sales commissions.
I am not sure what the English equivalent of Commission Dérogatoire is.
I thought perhaps it was "Variable Commission" except that "Commission Variable: already exists as a heading and has a paragraph dedicated to spelling out what it means.
Here is the context:
1.3 Commission Dérogatoire
(a) XXXX pourra décider de verser à l'Agent, au titre de l'Année 1, une commission exceptionnelle, décrite ci-dessous, autre que la Commission Nouveaux Clients décrite ci-dessus (la "Commission Dérogatoire"), dans les conditions suivantes.
(b) La Commission Dérogatoire correspond à 10% du Prix Effectif de Vente des Produits à tout Client Non Exclusif Dans Le Territoire, sans l'intervention de l'Agent, et attribuable à XXXX ou à un tiers (les "Ventes Hors Agent").
(c) La Commission Dérogatoire ne pourra être versée qu'après que chaque Client Non Exclusif Dans Le Territoire ait été désigné d'un commun accord entre les Parties selon les modalités décrites au 3 de l'Appendix 3

Special Bonus Commission
The term of 'exceptional' is already used in point a.
In the UK and US travel trade, this has got another colloquial name that I can't quite recall, but is sthg. to do with top-ups and rake-offs....

: Here it means "bonus". But the phrase on its own means "special commission", IMHO, nothing more nor less...

The bonus just reinforces the variety of comm., besides which your opinions ought to be bolder IMO vs. labelled 'humble' - an automatic self-destruct in E+W vs- Scotland for the legal drafting of a Counsel's Opinion - rather than Onion that makes you cry.
