English to Russian Bus/Financial Law: Contract(s)

The Parties agree that to the extent Company X established the accruals related to the Liabilities for Company Y products, Company X will, on and with effect as of the Termination Date, transfer and assign the underlying liabilities to the Company Y and/or Importer and make a payment on the conditions described below to the Company Y and/or the Importer in an amount equalling the amount of the accruals established by Company X for the Liabilities, provided that such transfer and assignment shall only occur after the Company Y have approved the amounts thereof.
