(b) Offtaker and its designees may at reasonable times, and at its own expense, conduct audits of Contractor’s books, data and records pertaining to metering, billing, direct pass-through elements of the Rates, adjustments of the Rates, reimbursement claims, termination payments, and any other charges to Offtaker based on Contractor's costs, in all such cases for the purpose of determining whether Contractor's charges to Offtaker have been computed in accordance with the provisions of this Agreement. Any disputes with respect to any such charges shall be resolved in accordance with Section 11.2 (Disputed Payments).
