English term

Post-completion covenants

English to Spanish Bus/Financial Business/Commerce (general)
Hola a todos!
Se trata de un Acuerdo de Inversión, y una de las cláusulas tiene como título "Post-Completion Covenants".
"Article 4 Post-Completion Covenants
Dissolution of fiscal unity
4.1 Gremio X hereby confirms that, as the date hereof the Subsidiary and Mountain B.V. are part of a fiscal unity for corporate income tax, which shall be dissolved in connection with the transfer of the shares in the issued capital of the Subsidiary...

"3.7 Completion shall take place at the offices of the notary at the date of this Agreement. At completion the parties shall do those things respectively required of them as follows:
-XX shall pay the Purchase Price by transferring an amount of EUR 1,000.000 into the notarial third party accounts..."
Por lo tanto, creo que Completion hace referencia a la transferencia de las acciones, tal como sugiere Patinba.
Muchas gracias a todos por las explicaciones!
FVS (X) Jun 3, 2011:
Jose The notary thing was just to give you a Spanish example. There will be no notary in this case. Anyway, it really all depends on the wider context.
José Manuel Lozano Jun 3, 2011:
FVS, I agree that it depends on the wider context but, according to the information given, I quite think that completion here refers to the performance of the contractual provisions and not to the notarization of the contract.
FVS (X) Jun 3, 2011:
Jose The term 'completion' when referring to contracts normally means consummacion or formalizacion, in the sense, say, of a contrato de compraventa where the 'completion' is the act of going to the notary and executing the escritura, etc. It really depends on the wider context but I agree that post-contractual NON COMPETITION clauses are common, although this does not actually mean that there is no subsisting contract between the parties in one form or another. Here I think it really refers to post-consummacion, i.e. after the act of completion has taken place.

acuerdos posteriores a la transferencia

It seems to refer to the completion of the share transfer

pactos postcontractuales

Entiendo que se trata de una cláusula que se aplicará a partir de la extinción del contrato. Efectivamente, "post-terminación" suena un poco extraño, así que yo lo expresaría así: pactos postcontractuales.

Muchas gracias por tu ayuda!

agree Toni Romero : Me parece estupendo

muchas gracias, Toni
neutral FVS (X) : I think here we are talking about post-consumacion rather than post contractual. The contract would remain in force and would not be 'terminated' if there are obligations outstanding.// Yes, but completion is NOT termination - see discussion note.

Not necessarily. For example, employees sometimes have non-concurrence clauses which are effective long time after the termination of the contract
