English to Romanian Bus/Financial Business/Commerce (general)

UNANIMOUS WRITTEN CONSENT OF THE ADVISORY BOARD OF X LLC

Each of the undersigned, being all of the members of the Advisory Board (the "Advisory Board") of X, an American limited liability company (the "Company"), and acting by written consent in accordance with Section 4.3 of the Company's Advisory Board Bylaws, hereby adopts by this Unanimous Written Consent, dated November 24, 2010, the following resolutions with the same force and effect as if they had been adopted at a duly convened meeting of the Advisory Board;

WHEREAS, pursuant to Section 6.1 of the Company's Limited Liability Company Agreement, the Advisory Board shall appoint the Management Board, and unless expressly retained by the Advisory Board, all powers deemed necessary and appropriate for the management of the Company shall be vested in the Management Board.
