condição de eficácia

Portuguese to English Law/Patents Law (general)
A Empresa aduz que o pagamento realizado no acordo societário não poderia ser objeto de reconvenção, pois há condição de eficácia não implementada, conforme dispõe a Cláusula 11 da avença.
Votes to reclassify question as PRO/non-PRO:

Non-PRO (1): Nelson Soares

When entering new questions, KudoZ askers are given an opportunity* to classify the difficulty of their questions as 'easy' or 'pro'. If you feel a question marked 'easy' should actually be marked 'pro', and if you have earned more than 20 KudoZ points, you can click the "Vote PRO" button to recommend that change.

How to tell the difference between "easy" and "pro" questions:

An easy question is one that any bilingual person would be able to answer correctly. (Or in the case of monolingual questions, an easy question is one that any native speaker of the language would be able to answer correctly.)

A pro question is anything else... in other words, any question that requires knowledge or skills that are specialized (even slightly).

Another way to think of the difficulty levels is this: an easy question is one that deals with everyday conversation. A pro question is anything else.

When deciding between easy and pro, err on the side of pro. Most questions will be pro.

* Note: non-member askers are not given the option of entering 'pro' questions; the only way for their questions to be classified as 'pro' is for a ProZ.com member or members to re-classify it.

condition for the effectiveness

Sugestão.
Note from asker:
Achei umas referências a "efficacy condition". Será que é cabível?
Peer comment(s):

A "condition precedent" is one that must be performed before the agreement becomes effective (...).

Blacks Law Dictionary, 4th Ed., page 293.

"Condição suspensiva - Diz-se suspensiva a condição quando a produção dos efeitos jurídicos do negócio fica dependente de sua verificação."

Dicionário Jurídico, Ana Prata, Volume I, pág. 280-81

Portuguese term (edited): condição de eficácia / não implementada /

/unimplemented / operative requirement

... triggering effect...

I, too, wondered about condition precedent, but then it might be a condition subsequent. I can't tell from the context.

Note that it is operative, as in the operative: effective date of e.g. presumed death, and not technically operational.
Example sentence:

Never include a warranty, an obligation or other operative clause in a condition.

The object of the condition, conditional phrase or *triggering event* should be clearly defined.
