C O N D I T I O N S P A R T I C U L I E R E S ENGAGEMENT DU VENDEUR Le VENDEUR s’engage à faire effectuer, préalablement à la réalisation des présentes, les vérifications et réparations listées dans un document approuvé par les parties désigné ANNEXE 1 ci-annexé. P R I X - P A I E M E N T D U P R I X La vente, si elle se réalise, aura lieu moyennant le prix de HUIT CENT CINQUANTE MILLE EUROS ( 850.000,00 € ). Ce prix sera payable comptant en totalité au jour de l’acte authentique de vente, au moyen d’un virement à l’ordre du notaire rédacteur de l’acte. Le notaire rédacteur des présentes a informé les parties des conséquences qui pourraient résulter d'un règlement entre LE VENDEUR et L’ACQUEREUR, en dehors de la comptabilité du notaire, de tout ou partie du prix avant la signature de l'acte authentique de vente, au regard notamment de l'exercice d'un éventuel droit de préemption ou d'une situation hypothécaire qui ne permettrait pas de désintéresser tous les créanciers hypothécaires du VENDEUR. P L A N D E F I N A N C E M E N T L’ACQUEREUR déclare avoir l’intention de financer cette somme au moyen de ses deniers personnels ou assimilés. F I S C A L I T E RÉGIME FISCAL Pour la perception des droits, LE VENDEUR déclare : - ne pas être assujetti à la taxe sur la valeur ajoutée ; - que LE BIEN vendu est achevé depuis moins de cinq ans ; - que la déclaration d’achèvement des travaux mentionne un achèvement au 15 janvier 2016. En conséquence, la présente mutation, si elle se réalise, n’entrera pas dans le champ d’application de la taxe sur la valeur ajoutée. En outre la présente cession sera soumise à la taxe de publicité foncière au taux de droit commun prévu par l’article 1594 D du Code général des impôts, qui sera due par L’ACQUEREUR. INFORMATION DU VENDEUR SUR LA TAXATION DES PLUS- VALUES LE VENDEUR reconnaît que son attention a été attirée sur les dispositions des articles 150 U et suivants du Code général des impôts concernant l'imposition des plus-values résultant des ventes immobilières ou assimilées. C O N D I T I O N S S U S P E N S I V E S RENONCIATION À LA CONDITION SUSPENSIVE LIÉE À L’OBTENTION D’UN CRÉDIT L'ACQUEREUR déclare ne pas vouloir recourir à un prêt régi par les dispositions des articles L.313-1 et suivants du Code de la consommation pour financer la vente objet des présentes, et reconnaît avoir été informé que, s'il devait néanmoins recourir à un prêt, il ne pourrait plus se prévaloir du défaut d’obtention de ce prêt pour demander l’annulation de la vente et le remboursement des sommes versées ou de différer l’exécution du présent contrat. Aussi, L'ACQUEREUR a-t-il porté ci-après la mention manuscrite prescrite par l'article L.313-42 du Code de la consommation. «Je reconnais être informé que si je recours néanmoins à un prêt, je ne pourrai me prévaloir des dispositions des articles L.313-1 et suivants du Code de la consommation.» AUTRES CONDITIONS SUSPENSIVES URBANISME La présente convention est soumise à la condition suspensive que le certificat ou la note de renseignements d’urbanisme et le certificat d’alignement et de voirie ne révèlent pas l’existence d’une servitude susceptible de rendre LE BIEN impropre à la destination que L’ACQUEREUR envisage de lui donner. DROITS DE PRÉEMPTION OU DE PRÉFÉRENCE La présente convention est soumise à la condition suspensive de la purge de tout droit de préemption ou de préférence éventuels. A cet effet tous pouvoirs sont donnés au notaire chargé de la vente en vue de procéder à toutes notifications. DROITS RÉELS - HYPOTHÈQUES Le présent avant contrat est consenti également sous la condition que l’état hypothécaire afférent à ce BIEN : - ne révèle pas l’existence d’inscription pour un montant supérieur au prix de vente ou d’une publication de commandement de saisie. - ne révèle pas l’existence d’autres droits réels que ceux éventuellement ci- dessus énoncés faisant obstacle à la libre disposition du BIEN ou susceptible d’en diminuer sensiblement la valeur. S O R T D E L ’ A V A N T - C O N T R A T E N C A S D E N O N - R E A L I S A T I O N D E S C O N D I T I O N S S U S P E N S I V E S En cas de non-réalisation ou de défaillance de l’une des conditions suspensives prévue dans l’intérêt de L’ACQUEREUR, ce dernier, pourra renoncer à s’en prévaloir. Le présent avant-contrat ne sera alors pas considéré comme anéanti. Cette renonciation ne pourra entraîner une prorogation du délai dans lequel devra être réalisé l’acte authentique de vente. CONVENTION ENTRE LES PARTIES Il est convenu ce qui suit entre les parties : - si la vente se réalise, cette somme viendra en compte sur le prix de la - si une ou plusieurs des conditions suspensives ne se réalisaient pas dans les délais impartis, cette somme devra être restituée purement et simplement à l’ACQUEREUR. A charge pour ce dernier d’apporter la preuve que cette non réalisation ne provient pas de son fait, de sa faute ou de sa négligence ; - si toutes les conditions suspensives sont réalisées et si l’acte authentique de vente ne peut être dressé par la faute, le fait ou la négligence de l’ACQUEREUR dans le délai fixé, cette somme sera acquise définitivement au VENDEUR au titre de dommages et intérêts sans préjudice pour ce dernier de poursuivre la réalisation de la vente par acte authentique, et éventuellement l’obtention de tous dommages et intérêts supplémentaires. Le dépôt de garantie s’imputera le cas échéant sur le montant de l’éventuelle clause pénale ci-après. L’ACQUEREUR donne mandat irrévocable au notaire de verser ce dépôt de garantie au VENDEUR dans l’hypothèse ci-dessus énoncée. Cette clause s’appliquera de plein droit passé un délai de quinze jours après une mise en demeure d’exécuter restée infructueuse adressée au domicile de l’ACQUEREUR sous forme de lettre recommandée avec accusé de réception ou par acte extra judiciaire. CLAUSE RÉSOLUTOIRE DE PLEIN DROIT Conformément à l’article 1225 du Code civil, les parties conviennent que les présentes seront résolues de plein droit et sans intervention préalable du juge en cas d’absence de versement du dépôt de garantie à la date convenue. La résolution sera acquise de plein droit et sans formalité ni mise en demeure, par le seul fait de la volonté du VENDEUR de s’en prévaloir après constatation du défaut de provision totale ou partielle du virement avant la date convenue. LE VENDEUR pourra toujours renoncer à invoquer cette résolution de plein droit. A l’inverse, L’ACQUEREUR ne pourra jamais invoquer le défaut de paiement ou le paiement tardif du dépôt de garantie pour se soustraire à ses obligations. O B L I G A T I O N S I N C O M B A N T A U V E N D E U R J U S Q U ’ A U J O U R D E L ’ E N T R E E E N J O U I S S A N C E A compter des présentes et jusqu’au jour de l’entrée en jouissance, LE BIEN vendu restera sous la garde et la possession du VENDEUR. Ce dernier s’obligeant à gérer LE BIEN vendu raisonnablement. En conséquence, il s’interdit d’aliéner même partiellement ce BIEN, de l’hypothéquer, de le grever de charges réelles et perpétuelles, de consentir des droits personnels sur LE BIEN et plus généralement de faire des actes susceptibles d’en changer la destination, l’usage ou la nature ou susceptible d’en déprécier la valeur. De même, LE VENDEUR s’interdit de démonter tous les éléments ayant la qualification d’immeuble par destination, notamment et sans que cette liste soit exhaustive et dans l’hypothèse où ces biens ci-après désignés existent : - les glaces scellées dans les murs ; - les cheminées et leurs inserts ; - les radiateurs ; - la robinetterie, les sanitaires ( lavabo, baignoire, wc) ; - les revêtements de sol, douilles électriques ; - ainsi que les portes et leurs poignées. De plus, LE VENDEUR s’engage jusqu’au jour de l’entrée en jouissance : - à n’apporter aucune modification dans LE BIEN vendu par rapport à son état actuel ; - et à maintenir LE BIEN assuré jusqu’à la signature de l’acte authentique de vente. Le notaire rappelle aux parties l’importance de visiter à nouveau les lieux préalablement à la signature de la vente par acte authentique afin de constater l’absence de modifications apportées au BIEN et de vérifier qu’il est complètement libre de tout encombrants, et ce dans toutes les pièces et dans tous les éventuels locaux annexes ou extérieurs. Il est expressément convenu entre les parties que LE VENDEUR laissera L’ACQUEREUR visiter les lieux juste avant la réitération du présent acte par acte authentique pour s'assurer du respect de l'engagement qui précède, si ce dernier le désire. C H A R G E S E T C O N D I T I O N S G E N E R A L E S La vente aura lieu sous les charges et conditions suivantes : ETAT DU BIEN L’ACQUEREUR devra prendre LE BIEN dans l’état dans lequel il se trouvera au jour de l’entrée en jouissance, tel qu’il l’a vu et visité, sans recours contre LE VENDEUR pour quelque cause que ce soit et notamment pour mauvais état de la ou des constructions, du sol ou du sous-sol, vices mêmes cachés, erreur dans la désignation, le cadastre ou la contenance cadastrale, toute différence, excédât-elle un vingtième devant faire son profit ou sa perte, et plus généralement pour quelque cause que ce soit, LE VENDEUR s’interdit d’apporter, à compter de ce jour, des modifications matérielles ou juridiques au BIEN vendu. Toutefois, afin de respecter les dispositions de l’article 1626 du Code civil, LE VENDEUR garantira L’ACQUEREUR contre tous risques d’évictions, à l’exception des éventuelles charges déclarées aux présentes. SERVITUDES L’ACQUEREUR devra supporter les servitudes passives, apparentes ou occultes, continues ou discontinues, pouvant grever ce bien, sauf à s’en défendre, et profiter de celles actives s’il en existe, le tout à ses risques et périls, et sans recours contre le VENDEUR qui déclare qu’il n’existe à sa connaissance aucune servitude sur ce BIEN à l’exception de celle pouvant résulter de la situation naturelle des lieux, des titres de propriété, de l’urbanisme et qu’il n’en a créée aucune à l’exception de celle relatée ci-après. Ledit acte ayant fait l'objet d'une attestation rectificative en date du 19 février 1999 publiée au Bureau des Hypothèques de BONNEVILLE le 25 février 1999, Volume 1999 P Numéro 1780. A titre de servitude réelle et perpétuelle, le propriétaire du fonds servant constitue au profit du fonds dominant et de ses propriétaires successifs un droit de passage en tous temps et heures et avec tous véhicules, ainsi qu’un droit de passage perpétuel en tréfonds de toutes canalisations tant d'alimentation en eau que d'évacuation des eaux usées, et de toutes lignes souterraines. Ce droit de passage profitera aux propriétaires successifs du fonds dominant, à leur famille, ayants-droit et préposés, pour leurs besoins personnels et le cas échéant pour le besoin de leurs activités. Ce droit de passage s'exercera exclusivement sur une bande d'une largeur de SIX (6) mètres, telle que son emprise est figurée en pointillés au plan ci-annexé approuvé par les parties. Ce passage est en nature de chemin. II devra être libre à toute heure du jour et de la nuit, ne devra jamais être encombré et aucun véhicule ne devra y stationner. Il ne pourra être ni obstrué ni fermé par un portail d'accès, sauf dans ce dernier cas accord entre les parties. Les frais de réalisation de ce passage en surface seront à la charge de la Commune d'ARACHES LA FRASSE. En ce qui concerne le passage en surface : Le propriétaire du fonds dominant entretiendra à ses frais exclusifs le passage de manière qu'il soit normalement carrossable en tous temps par un véhicule particulier. Le défaut ou le manque d'entretien le rendra responsable de tous dommages intervenus sur les véhicules et les personnes et matières transportées, dans la mesure où ces véhicules sont d'un gabarit approprié pour emprunter un tel passage. L'utilisation de ce passage ne devra cependant pas apporter de nuisances au propriétaire du fonds servant par dégradation de son propre fonds ou par une circulation inappropriée à l'assiette dudit passage ou aux besoins des propriétaires du fonds dominant. En ce qui concerne le passage en tréfonds : Le propriétaire du fonds servant fera exécuter les travaux nécessaires à ses frais exclusifs, savoir viabilités jusqu'en limite du fonds dominant, tel qu'indiqué au plan ci-annexé, par les services compétents selon les règles de l'art, et remettra le fonds servant dans son état primitif dès leur achèvement. Le propriétaire du fonds dominant assurera l'entretien de ces gaines et canalisations par les seuls services compétents à ses frais exclusifs ainsi que leur remise en état si nécessaire. L'utilisation de ce passage en tréfonds et les travaux tant d'installation que d'entretien ne devront pas apporter de nuisances ni de moins-values au fonds servant. Pour la perception du salaire, la présente constitution de servitude est évaluée à cent cinquante euros. ». Un plan de la servitude est demeuré ci-annexé. En cas de réalisation de la vente, L’ACQUEREUR se trouvera subrogé dans les droits et obligations du VENDEUR pouvant résulter de ces servitudes. CONTRAT D’ASSURANCE L'ACQUEREUR fera son affaire personnelle de la continuation ou de la résiliation de toutes polices d'assurances souscrites par LE VENDEUR. ABONNEMENTS L’ACQUEREUR fait son affaire personnelle à compter du jour de l’entrée en jouissance de tous abonnements existants et déclare avoir reçu du VENDEUR toutes informations sur le contrat de distribution d’électricité. Le VENDEUR s’interdit de changer de fournisseur jusqu’à la signature de l’acte de vente. IMPÔTS ET TAXES L’ACQUEREUR devra acquitter, à compter du jour de l’entrée en jouissance, toutes les charges fiscales auxquelles ce BIEN pourra être assujetti. En ce qui concerne la taxe foncière de l’année courante, il est convenu qu’il sera procédé entre les parties, le jour de la vente par acte authentique, au décompte jour pour jour de leur quote-part respective en tenant compte de la date d’entrée en jouissance, sur la base du dernier avis d'imposition. Etant ici précisé que la taxe foncière 2019 pour ce bien s’élève à +++++++ RENSEIGNEMENTS HYPOTHÉCAIRES LE VENDEUR s’oblige à céder LE BIEN libre de toute inscription, transcription, publication, privilège ou mention de nature à empêcher le transfert de son droit de propriété. DIAGNOSTIC TECHNIQUE Conformément aux dispositions de l’article L.271-4. I du Code de la construction et de l’habitation, le VENDEUR a fourni à L’ACQUEREUR, qui le reconnaît, un diagnostic technique comprenant les documents relatés ci-après. Ces documents ont été établis par un technicien répondant aux critères de compétence prévus par la loi, ainsi qu’il résulte de l’attestation, dont une copie est ci-annexée. Les parties conviennent que le prix de la présente vente a été fixé en prenant en considération les conclusions de ce diagnostic technique. Le notaire rappelle que le défaut de production d’un diagnostic obligatoire, ne permet pas au VENDEUR de s’exonérer de la garantie des vices cachés. LUTTE CONTRE LE SATURNISME LE VENDEUR déclare que LE BIEN a été construit après le 1er janvier 1949 et n’est donc pas concerné par les dispositions de l’article L.1334-5 du Code de la santé publique. LE VENDEUR déclare qu’à sa connaissance, aucun occupant du BIEN n’a été atteint de saturnisme. Il déclare en outre n’avoir reçu aucune notification de la part du préfet tendant à l’établissement d’un constat en vue de déterminer si LE BIEN présente un risque d’accessibilité ou d’exposition au plomb pour ses occupants. SUR LA RÉGLEMENTATION RELATIVE À L'AMIANTE LE VENDEUR déclare que le permis de construire de l'immeuble dont dépendent les biens et droits immobiliers vendus a été délivré après le 1er juillet 1997. Il n'entre donc pas dans le champ d'application des dispositions des articles R. 1334-14 et suivants du Code de la santé publique. RÉGLEMENTATION RELATIVE AUX TERMITES LE VENDEUR déclare qu’à ce jour LE BIEN vendu n’est pas inclus dans une zone contaminée ou susceptible d’être contaminée par les termites et qu’il n’a pas connaissance de la présence de tels insectes dans LE BIEN vendu. Il est ici précisé que si un arrêté préfectoral déclare la zone de situation du BIEN vendu comme étant susceptible d’être contaminé par les termites avant la date de signature de l’acte authentique, LE VENDEUR sera tenu de rapporter préalablement à la signature de l’acte authentique, un état parasitaire ne révélant la présence d’aucun termite dans LE BIEN vendu. RÉGLEMENTATION RELATIVE À LA MÉRULE LE VENDEUR déclare qu’à ce jour LE BIEN vendu n’est pas inclus dans une zone de présence de risque de mérule au sens de l'article L.133-8 du Code de la construction et de l'habitation et qu’il n’a pas connaissance de la présence de tel champignon dans LE BIEN vendu. Il est ici précisé que si un arrêté préfectoral déclare la zone de situation du BIEN vendu comme étant susceptible d’être contaminé par la mérule avant la date de signature de l’acte authentique, LE VENDEUR sera tenu de rapporter préalablement à la signature de l’acte authentique, une information ne révélant la présence d’aucune mérule dans LE BIEN vendu. CONTRÔLE PRÉALABLE DE L’INSTALLATION FIXE DE GAZ LE VENDEUR déclare que LE BIEN n'est pas équipé d’une installation fixe de gaz. En conséquence, la présente vente n'entre pas dans le champ d'application de l'article L.134-6 du Code de la construction et de l’habitation. ETAT DES RISQUES ET POLLUTIONS LE VENDEUR déclare au vu des informations mises à sa disposition par le Préfet du département ou par le maire de la commune, que : Risques naturels - La commune sur laquelle est situé LE BIEN est concernée par un plan de prévention des risques naturels : * approuvé le 7 novembre 1994 ; les risques naturels pris en compte sont : crue torrentielle, mouvement de terrain, avalanche ; * approuvé (Flaine), le 12 Juin 2014 ; les risques naturels pris en compte sont : crue torrentielle, mouvement de terrain, avalanche. LE BIEN est situé dans le périmètre d'exposition délimité par ce plan ainsi qu'il résulte de la copie du dossier communal d'information et de la carte du diagnostic concernant LE BIEN demeurées ci-annexées. - LE BIEN ne fait pas l’objet de prescriptions de travaux. Risques miniers - Il n’existe pas de plan de prévention des risques miniers. Risques technologiques - Il n'existe pas de plan de prévention des risques technologiques. Radon - LE BIEN est situé dans une commune définie par l'arrêté du 27 juin 2018 portant délimitation des zones à potentiel radon du territoire français comme à potentiel radon, classée en Zone 2 conformément aux dispositions de l'article R.1333-29 du Code de la santé publique. Information relative à la pollution des sols - LE BIEN ne se situe pas en secteur d’information sur les sols (SIS). Zone de sismicité - LE BIEN se situe en zone de sismicité 4. En conséquence il y a lieu de respecter pour les constructions nouvelles, les agrandissements, les surélévations ou les transformations les règles édictées par les articles L.111-26 et R.111-38 du Code de la construction et de l'habitation, notamment quant au contrôle technique. Sinistre - LE BIEN n’a jamais connu de sinistres résultant de catastrophes naturelles, minières ou technologiques, pour lesquels il a fait une déclaration de sinistre auprès de sa compagnie d’assurance. Un état des "Risques et Pollutions" de moins de six mois, a été visé par les parties et est demeuré ci-annexé. DIAGNOSTIC DE PERFORMANCE ÉNERGÉTIQUE LE VENDEUR déclare que LE BIEN entre dans le champ d’application des articles R.134-1 et suivants du Code de la construction et de l’habitation et qu’il a fait établir un diagnostic de performance énergétique par ALPES DIAGNOSTICS - BP 19 - 74301 CLUSES CEDEX le 12 septembre 2016 demeuré ci-annexé. Il en résulte ce qui suit : Consommations énergétiques : 226,1 kwhep/m².an (classe D ). Émissions de gaz à effet de serre : 12,7 kgeqco2/m².an (classe C ). L'ACQUEREUR reconnaît avoir été informé que, selon l’article L.271-4, II du Code de la construction et de l’habitation, il ne peut se prévaloir à l’encontre du VENDEUR des informations contenues dans le diagnostic de performance énergétique qui n’a qu’une valeur informative. ETAT DE L'INSTALLATION INTÉRIEURE D'ÉLECTRICITÉ Le VENDEUR déclare que LE BIEN vendu est équipé d’une installation électrique ayant moins de quinze ans. En conséquence, la présente vente n’entre pas dans le champ d’application de l’article L.134-7 du Code de la construction et de l’habitation. RACCORDEMENT AU RÉSEAU D’ASSAINISSEMENT LE VENDEUR déclare que LE BIEN objet des présentes est desservi par un réseau d’assainissement collectif et qu’il est relié à ce réseau. LE VENDEUR déclare que le réseau d’assainissement utilisé n’a fait l’objet d’aucun contrôle de conformité, mais il déclare que l’installation est en bon état de fonctionnement. L’ACQUEREUR déclare prendre acte de cette situation et vouloir en faire son affaire personnelle sans aucun recours contre quiconque. INFORMATION DU NOUVEAU PROPRIÉTAIRE AU TITRE DES DIAGNOSTICS Le notaire rédacteur des présentes informe L'ACQUEREUR que, dans l'hypothèse où il envisagerait de louer LE BIEN, il devra fournir au locataire le dossier de diagnostic technique prévu par l'article 3-3 de la loi du 6 juillet 1989 et les différents décrets subséquents. Pour ce faire, il est rappelé que les diagnostics dressés à l'occasion des présentes peuvent valablement être utilisés pour la signature du bail d'habitation à condition qu'ils soient toujours en cours de validité au jour de la signature du bail. OBLIGATION D’INSTALLATION DE DÉTECTEURS DE FUMÉE DANS TOUS LES LIEUX D’HABITATION Le notaire rédacteur rappelle que, depuis le 8 mars 2015, tout propriétaire d’un local d’habitation a l’obligation d’installer des détecteurs de fumée normalisés. LE VENDEUR déclare que le BIEN est actuellement équipé d'un détecteur de fumée dont il ignore s'il sera conforme à la norme devant être définie par décret en Conseil d'État. L’ACQUEREUR déclare vouloir en faire son affaire personnelle sans recours contre quiconque et reconnaît avoir été informé que l'obligation d'équipement de l'habitation incombe au propriétaire. PPA - PLAN DE PROTECTION DE L’ATMOSPHÈRE DE LA VALLÉE DE L’ARVE - CONFORMITÉ DES MOYENS DE CHAUFFAGE UTILISANT DE LA BIOMASSE Il résulte d’un arrêté rendu par Monsieur le Préfet de la Haute-Savoie le 10 mai 2012 sous le numéro 2012-131-0022 modifié suivant arrêté n° 2014127-0010 du 7 mai 2014 que les installations de combustion individuelles utilisant de la biomasse mises en service à compter du 10 Août 2012 dans un périmètre géographique donné, doivent respecter une valeur limite d’émission de poussières de 125mg/N.m3. Ce texte impose également aux VENDEURS lors des transactions immobilières de justifier de la conformité de leur installation de combustion individuelle utilisant de la biomasse ou à procéder aux travaux de mise en conformité. Le justificatif technique qui prend la forme d’une notice constructeur ou d’une attestation établie par un professionnel « reconnu Garant de l’Environnement » (labellisé QUALI’BOIS, QUALIBAT ENR bois ou équivalent) doit être joint au dossier de diagnostic technique. Travaux de mise en conformité : Lors de la signature de l’acte authentique de vente, en l’absence du justificatif technique ci-dessus visé ou en l’absence de déclaration de non-conformité de la part du vendeur, le vendeur ne peut s’exonérer de la garantie des vices cachés correspondante. En cas de non-respect par l’installation individuelle utilisant de la biomasse de la valeur limite d’émission, lors de la signature de l’acte authentique de vente, le vendeur, ou par convention dans l’acte de vente, l’acquéreur fera procéder aux travaux de mise en conformité dans un délai d’un an après la signature de l’acte de vente. La Commune de ARACHES LA FRASSE est concernée par ledit arrêté. Le VENDEUR déclare que le bien vendu est équipé d’une cheminée avec Foyer AXIS 3V900 brique noir référencé dégageant 16mg/Nm3 de poussières, soit une valeur d’émission inférieure au seuil fixé par l’arrêté. (ainsi que l’atteste la facture d’installation ci-jointe) Le VENDEUR déclare par conséquent que l’installation est conforme aux normes fixées dans l’arrêté ci-dessus. INFORMATION RELATIVE À LA CONSTRUCTION, AUX AMÉNAGEMENTS ET AUX TRANSFORMATIONS CONSTRUCTION Le BIEN objet des présentes a fait l’objet : Initialement un permis de construire trois chalets individuels, a été délivré suivant arrêté délivré par la Mairie d’ARACHES LA FRASSE à la SARL L.C.R., le 18 avril 2012, sous le numéro PC 074.014.12.C0002 ; Suivi - d’un permis de construire modificatif suivant arrêté délivré par la Mairie d’ARACHES LA FRASSE délivré à la SARL L.C.R., le 13 janvier 2015, sous le numéro PC.074.014.12.C0002.M01, en vue de la modification de l’implantation du Chalet A ; - d’un transfert des permis de construire ci-dessus, initial et modificatif au profit de l’acquéreur aux présentes, l’indivision ROUX, suivant arrêté délivré par la Mairie d’ARACHES LA FRASSE, le 24 février 2016, sous le numéro PC.074.014.12.C0002.T02 ; - d’une déclaration attestant l’achèvement et la conformité des travaux pour une tranche des travaux, soit les Chalets B et C, à la date du 15 janvier 2016 suivant déclaration reçue en Mairie d’ARACHES LA FRASSE, le 05 février 2016 ; - et d’un permis de construire modificatif délivré par la Mairie d’ARACHES LA FRASSE à l’acquéreur aux présentes, l’indivision ROUX, le 25 avril 2016, sous le numéro PC.074.014.12.C0002.M03. - Une déclaration attestant l’achèvement et la conformité des travaux relative à la construction des trois chalets reçue en mairie le 22 décembre 2016 - Une attestation de non contestation de conformité délivré par M. le Maire d’ARACHES LA FRASSE le 21 mars 2017. Une copie de ces divers documents est demeurée ci-annexée. Le BIEN objet des présentes, étant achevé depuis moins de dix ans, il est soumis aux dispositions des articles 1792 et suivants du Code civil relatives aux diverses garanties et responsabilités attachées à cette construction. Les dispositions du Code civil sont ci-après littéralement retranscrites : Article 1792 : "Tout constructeur d'un ouvrage est responsable de plein droit, envers le maître ou l'acquéreur de l'ouvrage, des dommages, même résultant d'un vice du sol, qui compromettent la solidité de l'ouvrage ou qui, l'affectant dans l'un de ses éléments constitutifs ou l'un de ses éléments d'équipement, le rendent impropre à sa destination. Une telle responsabilité n'a point lieu si le constructeur prouve que les dommages proviennent d'une cause étrangère." Article 1792-1 : "Est réputé constructeur de l'ouvrage : 1/ Tout architecte, entrepreneur, technicien ou autre personne liée au maître de l'ouvrage par un contrat de louage d'ouvrage ; 2/ Toute personne qui vend, après achèvement, un ouvrage qu'elle a construit ou fait construire ; 3/ Toute personne qui, bien qu'agissant en qualité de mandataire du propriétaire de l'ouvrage, accomplit une mission assimilable à celle d'un locateur d'ouvrage." Article 1792-2 : "La présomption de responsabilité établie par l'article 1792 s'étend également aux dommages qui affectent la solidité des éléments d'équipement d'un ouvrage, mais seulement lorsque ceux-ci font indissociablement corps avec les ouvrages de viabilité, de fondation, d'ossature, de clos ou de couvert. Un élément d'équipement est considéré comme formant indissociablement corps avec l'un des ouvrages de viabilité, de fondation, d'ossature, de clos ou de couvert lorsque sa dépose, son démontage ou son remplacement ne peut s'effectuer sans détérioration ou enlèvement de matière de cet ouvrage." Article 1792-3 : "Les autres éléments d'équipement de l'ouvrage font l'objet d'une garantie de bon fonctionnement d'une durée minimale de deux ans à compter de sa réception." Article 1792-4 : "Le fabricant d'un ouvrage, d'une partie d'ouvrage ou d'un élément d'équipement conçu et produit pour satisfaire, en état de service, à des exigences précises et déterminées à l'avance, est solidairement responsable des obligations mises par les articles 1792, 1792-2 et 1792-3 à la charge du locateur d'ouvrage qui a mis en œuvre, sans modification et conformément aux règles édictées par le fabricant, l'ouvrage, la partie d'ouvrage ou élément d'équipement considéré. Sont assimilés à des fabricants, pour l'application du présent article : Celui qui a importé un ouvrage, une partie d'ouvrage ou un élément d'équipement fabriqué à l'étranger ; Celui qui l'a présenté comme son œuvre en faisant figurer sur lui son nom, sa marque de fabrique ou tout autre signe distinctif." Article 1792-4-1 : "Toute personne physique ou morale dont la responsabilité peut être engagée en vertu des articles 1792 et 1792-4 du présent code est déchargée des responsabilités et garanties pesant sur elle, en application des articles 1792 à 1792-2, après dix ans à compter de la réception des travaux ou, en application de l'article 1792-3, à l'expiration du délai visé à cet article." ASSURANCES-CONSTRUCTION Elles consistent en : - La garantie décennale souscrite par le maître de l’ouvrage et les participants à l’acte de construire et dont la mise en jeu nécessite la preuve d’un défaut de construction. - L’assurance dommages-ouvrages souscrite par le maître de l’ouvrage pour fournir les fonds nécessaires à la réparation des dommages à la construction, en dehors de toute recherche de responsabilité. L'ACQUEREUR sera subrogé dans les droits du VENDEUR, lors de la régularisation authentique du présent acte. LE VENDEUR déclare : - que, malgré ses qualités successives de maître de l'ouvrage et de vendeur après achèvement et contrairement aux dispositions des articles L. 241-1 et L. 242-1 du Code des assurances, il n'a souscrit aucune des assurances de responsabilité et de dommages prévues aux articles L. 241-1 à L. 243-8 du Code des assurances. Les dispositions du Code des assurances sont ci-après littéralement retranscrites : Article L. 241-1 : « Toute personne physique ou morale, dont la responsabilité peut être engagée sur le fondement de la présomption établie par les articles 1792 et suivants du code civil à propos de travaux de bâtiment, doit être couverte par une assurance. A l'ouverture de tout chantier, elle doit être en mesure de justifier qu'elle a souscrit un contrat d'assurance la couvrant pour cette responsabilité. Tout contrat d'assurance souscrit en vertu du présent article est, nonobstant toute stipulation contraire, réputé comporter une clause assurant le maintien de la garantie pour la durée de la responsabilité pesant sur la personne assujettie à l'obligation d'assurance. » Article L. 241-2 : « Celui qui fait réaliser pour le compte d'autrui des travaux de bâtiment mentionnés à l'article précédent doit être couvert par une assurance de responsabilité garantissant les dommages visés aux articles 1792 et 1792-2 du code civil et résultant de son fait. Il en est de même lorsque les bâtiments sont construits en vue de la vente. » Article L. 242-1 : « Toute personne physique ou morale qui, agissant en qualité de propriétaire de l'ouvrage, de vendeur ou de mandataire du propriétaire de l'ouvrage, fait réaliser des travaux de bâtiment, doit souscrire avant l'ouverture du chantier, pour son compte ou pour celui des propriétaires successifs, une assurance garantissant, en dehors de toute recherche des responsabilités, le paiement de la totalité des travaux de réparation des dommages de la nature de ceux dont sont responsables les constructeurs au sens de l'article 1792-1, les fabricants et importateurs ou le contrôleur technique sur le fondement de l'article 1792 du code civil. Toutefois, l'obligation prévue au premier alinéa ci-dessus ne s'applique ni aux personnes morales de droit public ni aux personnes morales exerçant une activité dont l'importance dépasse les seuils mentionnés au dernier alinéa de l'article L. 111-6, lorsque ces personnes font réaliser pour leur compte des travaux de bâtiment pour un usage autre que l'habitation. L'assureur a un délai maximal de soixante jours, courant à compter de la réception de la déclaration du sinistre, pour notifier à l'assuré sa décision quant au principe de la mise en jeu des garanties prévues au contrat. Lorsqu'il accepte la mise en jeu des garanties prévues au contrat, l'assureur présente, dans un délai maximal de quatre-vingt-dix jours, courant à compter de la réception de la déclaration du sinistre, une offre d'indemnité, revêtant le cas échéant un caractère provisionnel et destinée au paiement des travaux de réparation des dommages. En cas d'acceptation, par l'assuré, de l'offre qui lui a été faite, le règlement de l'indemnité par l'assureur intervient dans un délai de quinze jours. Lorsque l'assureur ne respecte pas l'un des délais prévus aux deux alinéas ci-dessus ou propose une offre d'indemnité manifestement insuffisante, l'assuré peut, après l'avoir notifié à l'assureur, engager les dépenses nécessaires à la réparation des dommages. L'indemnité versée par l'assureur est alors majorée de plein droit d'un intérêt égal au double du taux de l'intérêt légal. Dans les cas de difficultés exceptionnelles dues à la nature ou à l'importance du sinistre, l'assureur peut, en même temps qu'il notifie son accord sur le principe de la mise en jeu de la garantie, proposer à l'assuré la fixation d'un délai supplémentaire pour l'établissement de son offre d'indemnité. La proposition doit se fonder exclusivement sur des considérations d'ordre technique et être motivée. Le délai supplémentaire prévu à l'alinéa qui précède est subordonné à l'acceptation expresse de l'assuré et ne peut excéder cent trente-cinq jours. L'assurance mentionnée au premier alinéa du présent article prend effet après l'expiration du délai de garantie de parfait achèvement visé à l'article 1792- 6 du code civil. Toutefois, elle garantit le paiement des réparations nécessaires lorsque : Avant la réception, après mise en demeure restée infructueuse, le contrat de louage d'ouvrage conclu avec l'entrepreneur est résilié pour inexécution, par celui-ci, de ses obligations ; Après la réception, après mise en demeure restée infructueuse, l'entrepreneur n'a pas exécuté ses obligations. Toute entreprise d'assurance agréée dans les conditions fixées par l'article L. 321-1, même si elle ne gère pas les risques régis par les articles L. 241-1 et L. 241-2 ci-dessus, est habilitée à prendre en charge les risques prévus au présent article. » …… Article L. 243-2 : « Les personnes soumises aux obligations prévues par les articles L. 241-1 à L. 242-1 du présent code doivent être en mesure de justifier qu'elles ont satisfait auxdites obligations. RECONSTRUCTION APRÈS SINISTRE Il a été institué par la loi SRU, un droit de reconstruire à l'identique tout bâtiment détruit par sinistre, aux termes d’une disposition codifiée, sous l’article L.111-15 du Code de l’urbanisme, dont les termes sont ci-après littéralement retranscrits : « Lorsqu'un bâtiment régulièrement édifié vient à être détruit ou démoli, sa reconstruction à l'identique est autorisée dans un délai de dix ans nonobstant toute disposition d'urbanisme contraire, sauf si la carte communale, le plan local d'urbanisme ou le plan de prévention des risques naturels prévisibles en dispose autrement.». AGREEMENT BETWEEN PARTIES The following have been agreed between the parties: - if the sale is completed, this amount shall be deducted from the sale price - If one or several conditions precedent are not fulfilled before the stipulated deadlines, this sum shall be returned unconditionally to THE BUYER Provided that the latter shows proof that he is by no way, fault or negligence, responsible for the non-fulfilment, ; - if all the conditions precedent are fulfilled and if the notarial deed cannot be drawn up due to an act or negligence of THE BUYER within the time limit set, this sum shall be definitively acquired by THE SELLER as damages without prejudice to pursue the notarial deed, and possibly any additional damages. The security deposit shall be deducted if necessary from the amount of the eventual penalty clause below. THE BUYER gives the notary an irrevocable mandate to pay this security deposit to THE SELLER in the above-mentioned case. This clause shall apply ipso jure after a period of fifteen days following a formal notice to execute sent to THE BUYER’s address in the form of a registered letter with acknowledgement of receipt or by an extra-judicial document has remained unsuccessful. TERMINATION CLAUSE AS OF RIGHT In accordance with article 1225 of the Civil Code, the parties agree that this agreement shall be automatically terminated without prior intervention by a judge in the event of failure to pay the security deposit on the agreed date. Rescission shall be obtained by right and without formality or formal notice, at the sole discretion of THE SELLER to take action thereon after a conclusion on failure to provide a total or partial deposit has been established before the agreed date. THE SELLER may also waiver the right to invoke this automatic rescission. Conversely, THE BUYER may never invoke the non-payment or late payment of the security deposit to avoid his obligations. OBLIGATIONS INCUMBENT UPON THE SELLER UNTIL THE DAY OF TAKING POSSESSION From the presents and until the day of the taking possession, THE PROPERTY sold shall remain in the custody and possession of THE SELLER. The latter undertakes to reasonably manage THE PROPERTY sold Consequently, he refrains from alienating this PROPERTY, even partially, mortgaging it, encumbering it with real and perpetual charges, granting personal rights over THE PROPERTY and more generally performing acts likely to change its purpose, use or nature or likely to depreciate its value. Similarly, THE SELLER shall refrain from dismantling fixtures, in particular and without this list being exhaustive and in the event that these assets described below exist: - the ice sealed in the walls; - chimneys and their inserts; - radiators; - taps, toilets (washbasin, bathtub, wc); - floor coverings, electrical sockets; - as well as doors and their handles. In addition, THE SELLER undertakes until the day of taking possession: - to make no change in THE PROPERTY sold as to its current condition; - and to maintain THE PROPERTY until the signing of the notarial deed. The notary reminds the parties of the importance of visiting the premises again before signing the sale by notarial deed in order to ensure the absence of modifications on THE PROPERTY and to verify that it is completely free of any cumbersome items, in all the rooms and in any additional or external premises. It is expressly agreed between the parties that THE SELLER shall allow THE BUYER to visit the premises immediately before the reiteration of this agreement by notarial deed to ensure compliance with the foregoing undertaking, if the latter so wishes. EXPENSES AND GENERAL TERMS AND CONDITIONS The sale shall take be under the following conditions and expenses: STATE OF THE PROPERTY THE BUYER must take THE PROPERTY in the state in which it shall be on the day he comes into possession, as he saw and visited it, without any recourse against THE SELLER for any reason whatsoever and in particular for poor condition of the building(s), of ground or underground, even hidden defects, error in description, the cadastre or the land capacity, any difference, exceeding one twentieth making a profit or loss, and more generally for any reason whatsoever, THE SELLER is prohibited from making, as of today, material or legal modifications to the sold PROPERTY. However, in order to comply with the provisions of Article 1626 of the Civil Code, THE SELLER shall guarantee THE BUYER against all risks of eviction, with the exception of any charges declared herein. EASEMENTS THE BUYER shall bear adverse, apparent or unapparent, continuous or discontinuous easements that may encumber this property, unless he defends himself against, and take advantage of the active ones, if any, all at his own risk and peril, and without recourse against THE SELLER who declares that to his knowledge there is no easement on this PROPERTY except that which may result from natural situation of the premises, property titles, urban planning and that he has not created any such easements except that described below. With regard to the surface passage : The owner of the dominant estate shall maintain the passage at his own expenses in such a way a private vehicle can smoothly drive on at all times. Failure or lack of maintenance shall make him liable for any damage caused on the vehicles, persons and materials transported, insofar as these vehicles are of an appropriate size to use such a passage. However, the use of this passage must not cause any nuisance to the estate owner by damaging his own land or by traffic that is inappropriate to the base of the passage or to the needs of the owners of the dominant estate. With regard to the sub-surface passage: The servient estate owner shall carry out necessary work at his sole expense, i.e viability up to the limit of the dominant estate, as indicated in the annexed plan, by a competent service provider in accordance with the rules of the art, and shall restore the servient estate to its original state as soon as it is completed. The dominant estate owner shall ensure the maintenance of these ducts and pipes by competent services only at his sole expense and their repair if necessary. The use of this sub-surface passage and the installation as well as maintenance work must not bring any nuisances or capital losses to the servient estate. In order to collect salary, this easement set-up is evaluated at one hundred and fifty euros. ». An easement plan is annexed hereto. In the event of sale execution, THE BUYER shall be subrogated to THE SELLER's rights and obligations that may result from these easements. INSURANCE CONTRACT THE BUYER shall be personally responsible for the continuation or termination of any insurance policies subscribed by THE SELLER. SUPPLY AGREEMENTS THE BUYER shall be personally responsible from the day on which all existing subscriptions come into use and declares that he has received from THE SELLER all information on the electricity contract. THE SELLER shall refrain from changing supplier until the deed of sale has been signed. DUES AND TAXES THE BUYER must pay, as from the day of taking possession, all tax charges to which this PROPERTY may be bound to. For the property tax for the current year, it is agreed that the parties shall proceed, on the day of the sale by deed, to the day they settle their respective share, taking into account the date of entry into possession, on the basis of the last tax notice. It is worth mentioning that the 2019 property tax for this property amounts to +++++++ MORTGAGE INFORMATION THE SELLER undertakes to transfer THE PROPERTY free of any registration, transcription, publication, privilege or mention likely to prevent the transfer of his property right. TECHNICAL DIAGNOSIS In accordance with the provisions of Article L.271-4. I of the Building and Housing Code, the SELLER has provided the BUYER, who acknowledges it, with a technical diagnosis including the documents related below. These documents were drafted by a technician who meets the competence criteria provided for by law, as shown in the certificate, a copy of which is annexed hereto. The parties agree that the price of this sale was fixed taking into consideration the conclusions of this technical diagnosis. The notary reminds that failure to produce a mandatory diagnosis does not permit the SELLER to claim exemption from the guarantee of hidden defects. FIGHT AGAINST LEAD POISONING THE SELLER declares that the PROPERTY was built after 1 January 1949 therefore not concerned with the provisions of Article L.1334-5 of the Public Health Code. THE SELLER declares that to his knowledge, no occupant of the PROPERTY has been affected by lead poisoning. He also states that he has not received any notification from the prefect to establish a report in order to determine whether THE PROPERTY presents a risk of accessibility or exposure to lead for its occupants. REGULATION ONASBESTOS THE SELLER declares that the building permit for the the infrastructure on which the property and real estate rights sold depend was issued after 1 July 1997. It therefore does not fall within provisions of the Articles R. 1334-14 et seq. of the Public Health Code. REGULATION ON TERMITE THE SELLER declares that to date THE PROPERTY sold is not included in an area contaminated or likely to be contaminated by termites and that he is not aware of the presence of such insects in THE PROPERTY sold. It is specified here that if an order from Prefect declares the location area of the sold PROPERTY as likely to be contaminated by termites before the signing date of the notarial deed, THE SELLER shall be required to produce a parasite status certificate, prior to the signature of the notarial deed, showing the absence of termite in THE PROPERTY sold . REGULATION ON DRY ROT THE SELLER declares that to date THE PROPERTY sold is not included in an area of risk of dry rot within the meaning of Article L.133-8 of the Building and Housing Code and that he is not aware of the presence of such fungus in THE PROPERTY sold. It is specified here that if an order from the prefect declares the location area of the sold PROPERTY as likely to be contaminated by dry rot before the signing date of the notarial deed, THE SELLER shall be required to produce information, prior to the signature of the notarial deed, showing the absence of dry rot in THE PROPERTY sold. PRIOR CHECK OFTHE GAS-FIXED INTALLATION THE SELLER declares that THE PROPERTY is not equipped with a gas-fixed installation. Consequently, this sale does not fall within the provisions of Article L. 134-6 of the Building and Housing Code. RISK AND POLLUTION STATUS THE SELLER declares, in view of the information made available to him by the Prefect of the department or by the Mayor of the Commune, that : Natural hazards - The commune in which THE PROPERTY is located has a prevention plan for natural hazards: * approved on 7 November 1994; natural hazards taken into account are: torrential flood, ground movement, avalanche; * Approved (Flaine) on 12 June 2014; natural hazards taken into account are: torrential flood, ground movement, avalanche; THE PROPERTY is located within the exhibition area delimited by this plan as shown by the copy of the municipal information file and the diagnostic map showing THE PROPERTY remained annexed. - THE PROPERTY is not subject to work regulations. Mine risks - There is no plan for the prevention of mine risks. Technological risks - There is no plan for the prevention of technological risks. Radon - THE PROPERTY is located in a commune defined by the order of 27 June 2018 delimiting zones with radon potential in France as zones with radon potential, classified in Zone 2 in accordance with the provisions of Article R. 1333-29 of the Public Health Code. Information on soil pollution - THE PROPERTY is not located in the Soil Information Sector (SIS). Seismic zone - THE PROPERTY is located at seismic zone 4. Consequently, for new constructions, extensions, elevations or conversions, the rules laid down in Articles L. 111-26 and R. 111-38 of the Building and Housing Code must be respected, especially the stipulation for construction supervision. Disaster - THE PROPERTY has never experienced disasters resulting from natural, mining or technological disasters, for which it has filed a claim with its insurance company. A statement of “Risks and Pollution less than six months old, has been endorsed by the parties and remained annexed. ENERGY PERFORMANCE DIAGNOSIS THE SELLER declares that THE PROPERTY falls within framework of Articles R. 134-1 et seq. of the Building and Housing Code and that he has had an energy performance diagnosis carried out by ALPES DIAGNOSTICS - PO box 19 - 74301 CLUSES CEDEX on 12 September 2016 remained annexed The result is as follows: Energy consumption: 226,1 kwhep/m².an (class D ). Greenhouse gas emissions: 12,7 kgeqco2/m².an (class C ). THE BUYER acknowledges he has been informed that, according to Article L. 271-4, II of the Building and Housing Code, he cannot rely on the information contained in the energy performance diagnosis to recourse against THE SELLER, which has only informative value. SITUATION OF INTERNAL ELECTRICITY INSTALLATION The SELLER declares that THE PROPERTY sold is equipped with an electrical installation less than fifteen years old. Consequently, this sale does not fall within the provisions of Article L. 134-7 of the Building and Housing Code. CONNECTION OF THE WASTEWATERSYSTEM THE SELLER declares that THE PROPERTY herein is served by a collective wastewater system and that the building is connected to this network. THE SELLER declares that the sewage system used has not been subject to any conformity control, but declares that the installation is in good working order. THE BUYER declares to take note of this situation and to make it his personal responsibility without any recourse against anyone. INFORMATION TO THE NEW OWNER IN TERMS OF DIAGNOSIS The notary drafting this document informs THE BUYER that, in case he intends to lease THE PROPERTY, he must provide the tenant with the technical diagnosis file provided for in Article 3-3 of the 6 July 1989 law and the various subsequent decrees. In this respect, it is underscored that the diagnoses made on the occasion of this agreement may validly be used for the signing of lease, provided that they are still valid on the day the lease is signed. OBLIGATION TO SMOKE DETECTION SYSTEM IN ALL THE RESISENTIAL PREMISES The notary reminds that, since 8 March 2015 every owner of a residential space is required to install standardized smoke detectors. THE SELLER declares that the PROPERTY is currently equipped with a smoke detector which he does not know if it complies with the standard decreed in the Council of State. THE BUYER declares to make it his responsibility without recourse against anyone and acknowledges having been informed that the obligation to equip the dwelling is incumbent on the owner. PPA- PLAN FOR THE PROTECTION OF THE ATMOSPHERE OF THE ARVEVALLEY- CONFORMITY OF HEATING METHODS USING BIOMASS Pursuant to an order issued by the Prefect of Haute-Savoie on 10 May 2012 under number 2012-131-0022 amended according to order n° 2014127-0010 of 7 May 2014 that individual combustion installations using biomass put into service as from 10 August 2012 in a given geographical area must comply with a dust emission limit value of 125mg/N.m3. The text also requires SELLERS during real estate transactions to prove the conformity of their individual combustion installations using biomass or to carry out compliance work. The technical proof in the form of a manufacturer's manual or a certificate drawn up by a professional "recognised as the Guarantor of the Environment" (certified QUALI' BOIS, QUALIBAT ENR wood or equivalent) must be attached to the technical diagnosis file. Compliance efforts: When signing the notarial deed, in the absence of the technical proof referred to above or in the absence of a declaration of non-conformity from the seller, the seller cannot claim exemption from the corresponding guarantee against hidden defects. In the event of non-compliance of the individual installation using biomass with the emission limit value, during the signing of the notarial deed, the seller, or by agreement in the deed of sale, the buyer shall carry out compliance work within one year of signing the deed of sale. The Commune of ARACHES LA FRASSE is concerned by this order. The SELLER declares that the property sold is equipped with a chimney with AXIS 3V900 referenced black brick fireplace emitting 16mg/Nm3 of dust, i.e. an emission value below the threshold set by the order. (as evidenced by the annexed installation receipt) The SELLER therefore declares that the installation complies with the standards set out in the above order. INFORMATION RELATING TO CONSTRUCTION, IMPROVEMENTS AND TRANSFORMATIONS CONSTRUCTION The PROPERTY in this agreement was subject to: Initially a building permit of three chalets was issued by an order of the Town Hall of ARACHES LA FRASSE to SARL L.C.R., on 18 April 2012, under the number PC 074.014.12.C0002 ; Followed by - an amending building permit following an order issued by the Town Hall of ARACHES LA FRASSE to L.C.R. Ltd, on 13 January 2015, under number PC.074.014.12.C0002.M01, with a view to modifying the location of Chalet A ; - a transfer of the above building permits, initial and amending in favour of the buyer herein, the co-ownership ROUX, according to an order issued by the Town Hall of ARACHES LA FRASSE, on 24 February 2016, under number PC.074.014.12.C0002.T02 ; - A declaration attesting the work completion and compliance for part of the work, i.e. Chalets B and C, on 15 January 2016 following a declaration received at the Town Hall of ARACHES LA FRASSE, on 05 February 2016; - and an amending building permit issued by the Town Hall of ARACHES LA FRASSE to the buyer herein, co-ownership ROUX, on 25 April 2016, under number PC.074.014.12.C0002.M03. - A declaration attesting work completion and compliance in relation to the construction of the three chalets received at the Town Hall on 22 December 2016 - A certificate of non-objection issued by the Mayor of ARACHES LA FRASSE on 21 March 2017. A copy of the various documents remained annexed. The PROPERTY subject herein, having been completed less than ten years ago, is subject to the provisions of articles 1792 et seq. of the Civil Code relating to the various guarantees and liabilities to it. The provisions of the Civil Code are hereafter literally transcribed: Article 1792: “Any builder of a work is liable as of right, towards the building owner or purchaser, for damages, even resulting from a defect of the ground, which imperil the strength of the building or which, affecting it in one of its constituent parts or one of its elements of equipment, render it unsuitable for its purposes. Such liability does not take place where the builder proves that the damages were occasioned by an extraneous" Article 1792-1: “Are deemed builders of the work: 1/ Any architect, contractor, technician or other person bound to the building owner by a contract of hire of work; 2/ Any person who sells, after completion, a work which he built or had built; 3/ Any person who, although acting in the capacity of agent for the building owner, performs duties similar to those of a hirer out of work” Article 1792-2: “The presumption of liability established by Article 1792 also extends to damages affecting the strength of the elements of equipment of a work, but only where the latter are an indissociable and integral part of the works of development, foundation, ossature, close or cover. An element of equipment is deemed to be an indissociable part of one of the works of development, foundation, ossature, close or cover where the demounting, disassembling or replacing thereof cannot be effected without deterioration or removal of material from that work. Article 1792-3: “Other elements of equipment of a work are the subject of a warranty of good running for a minimum period of two years as from its approval" Article 1792-4: “The manufacturer of a work, of a part of a work or of an element of equipment designed and produced for meeting precise and predetermined requirements when in working order, is jointly and severally liable for the obligations placed by Articles 1792, 1792-2 and 1792-3 on the hirer out of work who made use, without modification and in compliance with the directions of the manufacturer, of the work, part of work or element of equipment concerned. For the purpose of this Article, shall be treated in the same way as manufacturers: A person who imported a work, a part of work or an element of equipment manufactured abroad; A person who presented it as his own work by having his name, his trade mark or any other distinguishing sign appear on it.” Article 1792-4-1 : “Any natural person or legal entity whose liability may be incurred pursuant to Articles 1792 and 1792-4 of this Code shall be discharged from the responsibilities and guarantees incumbent upon it, pursuant to Articles 1792 to 1792-2, after ten years from the date of acceptance of the work or, pursuant to Article 1792-3, on expiry of the period referred to in that Article." CONSTRUCTION-INSURANCE They include: - The ten-year guarantee subscribed by the project owner and participants of the construction work, of which the implementation requires proof of a construction defect. - The “assurance dommages-ouvrages” (10-year builders’ and contractors’ liability insurance) taken out by the project owner in order to provide the necessary funds for repairing construction damage, without any search for liability. THE BUYER shall be subrogated to the SELLER's rights, upon the authentic regularization of this deed. THE SELLER declares: - that, despite his successive qualities as owner and seller after completion and contrary to the provisions of Articles L. 241-1 and L. 242-1 of the Insurance Code, he has not taken out any of the liability and damage insurance provided for in Articles L. 241-1 to L. 243-8 of the Insurance Code. The provisions of the Code are hereafter literally transcribed: Article L. 241-1 : “Any natural person or legal entity whose decennial responsibility may be incurred on the basis of the presumption provided for in Articles 1792 and following of the Civil Code must be covered by an insurance policy. Upon the commencement of the building work, he/she must be able to prove that he/she has underwritten an insurance contract that covers his/its liability. Notwithstanding any clause to the contrary, any insurance contract underwritten by virtue of this Article shall be deemed to contain a clause ensuring that the cover shall be maintained for the term of the decennial responsibility imposed on the person who is submitted to the compulsory insurance. “ Article L. 241-2 : The person who has building works carried out on behalf of someone else must be covered by liability insurance that covers the damage referred to in Articles 1792 and 1792-2 of the Civil Code which is the consequence of his/its wrongdoing. The same shall apply when the building works are carried out for sale. “ Article L. 242-1 : “Any natural person or legal entity who, acting as owner of a work, seller or representative of the owner of the work, has building works carried out, must, before the opening of the building site, on his/its behalf or on behalf of successive owners, take out insurance policy that covers, on a no-fault basis, payment of the entire reparation work of the damage of the type that builders are liable for within the meaning of Article 1792-1, manufacturers and importers or a consulting engineer are liable for under Article 1792 of the Civil Code. However, the obligation provided for in the first paragraph above shall not apply to public corporations or to legal entities that operate an activity the scope of which exceeds the thresholds referred to in the last paragraph of Article L111-6, when said public corporation or legal entity has building works carried out on their behalf for a purpose other than for housing. The insurer has a maximum period of sixty days as from receipt of the report of loss to notify the insured of its decision on the performance of the covers provided for in the contract. If the performance of the covers provided for in the contract is accepted, the insurer shall make a compensation offer, where applicable on temporary basis, to cover the cost of the reparation work of the damage, within a maximum period of ninety days as from receipt of the report of loss. If the insured accepts the offer made, the insurer shall settle the compensation within 15 days. When the insurer fails to comply within the time-limits provided for in the two paragraphs above or proposes a compensation offer that is clearly inadequate, the insured may, after it has notified the insurer, incur the expenses necessary to repair the damage. In such event, an interest double the legal interest rate shall be applied ipso jure to the compensation to be paid by the insurer. In the event of exceptional difficulties due to the nature or scope of the damage, the insurer may, at the same time as it notifies the insured of its agreement in principle to perform the cover, propose an additional time-limit to make its compensation offer. The proposal must be based exclusively on technical considerations and explained.. The additional time-limit provided for in the previous paragraph must expressly be accepted by the insured and may not exceed one hundred and thirty five days. The insurance referred to in the first paragraph of this Article shall take effect after the expiry of the period of the completion bond referred to in Article 1792 of the Civil Code. REINSTATEMENT OF PROPERTY AFTER NATURAL DISASTER The SRU law instituted a right to identically rebuild any building destroyed by a disaster, under the terms of a codified provision, under Article L. 111-15 of the Town Planning Code, the terms of which are literally transcribed below: “ When a regularly erected building is destroyed or demolished, its identical reconstruction shall be authorised within ten years, notwithstanding any urban planning provision to the contrary, unless the municipal map, local urban plan or plan for the prevention of foreseeable natural risks provides otherwise..” Although the principle of the “right to rebuild identically” is enshrined by the legislature, the notary drafting this document has specified to THE BUYER: 1°) that, in order to be “regularly built”, the destroyed or demolished building must have been built by virtue of either: - a legally issued building permit; - or a building permit illegally issued but which has become final because it has not been the subject of a cancellation or withdrawal measure within the prescribed time limits and in accordance with the prescribed procedures; - or, without a permit, but built at a time when a building permit was not required. In addition, even with a building permit, the building must have a certificate of conformity. 2°) and that identical post-disaster reconstruction requires the obtaining of a new building permit, which may be refused in view of the constraints imposed by the regulatory authority when drawing up the municipal map, the local urban planning plan or the plan for the prevention of foreseeable natural risks in the commune in which the building is to be built. THE BUYER declares to be fully informed of the procedures for exercising this special principle of positive law and to be aware of its limits, which may be established in local urban planning documents. NATIONAL AGENCY FOR HOUSING THE SELLER declares that he has not concluded an agreement with the national agency for housing for repair and improvement works on THE PROPERTY herein. LEASE FOR ADVERTISING HOARDINGS THE SELLER declares that he has not granted any right for advertising hoardings that could encumber THE PROPERTY herein. CONSULTATION OF ENVIRONMENTAL DATABASES The following consultations were carried out on the GEORISK database; A copy of results of the consultation is annexed hereto. ARCHAEOLOGICAL HERITAGE THE BUYER acknowledges that he has been informed by the notary drafting this document of the provisions of Articles L. 541-1 et seq. of the Heritage Code relating to the ownership regime of the archaeological heritage, which provide: With regard to immovable archaeological property: - that, as an exception to Article 552 of the Civil Code, any immovable archaeological property that might be discovered on his land would belong to the State immediately they are discovered through archaeological excavations or in the event of accidental discovery; - that the State shall compensate the owner of the land where the property is located for any damage that may be caused when accessing the property; - that if the property is discovered by chance and gives rise to exploitation, the operator must pay the inventor a lump sum indemnity or, failing that, share with the latter the profit of the exploitation of the property. The lump sum indemnity and the profit-sharing are calculated in relation to the archaeological value of the discovery. With regard to movable archaeological property: - that, as an exception to Articles 552 and 716 of the Civil Code, any archaeological real estate property that might be discovered on his land would belong to the State immediately they are discovered through archaeological excavations or in the event of accidental discovery; as soon as the scientific interest justifying its conservation is recognised; - that if the discovered movable archaeological objects constitute a coherent whole whose scientific interest justifies conservation in their integrity, the administrative authority shall recognise them and notify the owner thereof; - that any alienation, whether for a compensation or free of charge, of a movable archaeological property or a group of it, as well as any division by lot or piece of such a group, is subject to prior declaration to the State services in charge of archaeology. DUTY OF CONFIDENTIALITY By virtue of Article 1112-2 of the Civil Code as literally outlined below: “Anyone who uses or discloses confidential information obtained in the course of negotiations without authorisation shall be liable under the conditions of general law. ” PRE-CONTRACTUAL DUTY TO INFORMATION By virtue of Article 1112-1 of the Civil Code as literally outlined below: “The party who knows information which is of decisive importance for the consent of the other, must inform him of it where the latter legitimately does not know the information or relies on the contracting party. “However, this duty to inform does not apply to an assessment of the value of the act of performance. “Information is of decisive importance if it has a direct and necessary relationship with the content of the contract or the status of the parties. “A person who claims that information was due to him has the burden of proving that the other party had the duty to provide it, and that other party has the burden of proving that he has provided it. “The parties may neither limit nor exclude this duty. “In addition to imposing liability on the party who had the duty to inform, his failure to fulfil the duty may lead to annulment of the contract under the conditions provided by articles 1130 and following. ” The parties declare that they are aware of the pre-contractual duty to information imposed on them by Article 1112-1 of the Civil Code, and that a breach of this duty may be sanctioned by damages and /or termination of the contract when the lack of information concerns a decisive element of the consent of the other party. The SELLER hereby declares that he has given to the buyer all information at his disposal concerning the property, which has a direct and necessary link with the content of this contract. DISASTER WITHIN VALIDITY OF CONTRACT If within the validity of this agreement, THE PROPERTY is victim of a disaster making it unfit for its purpose, THE BUYER would then have the possibility: - either to simply relinquish the authentic execution of this agreement and he shall then be reimbursed any sums advanced by him; - or to continue the execution of the agreement by being paid any compensation paid by the insurance company or companies. THE SELLER in this case declares that THE BUYER is subrogated unconditionally in all his rights against the insurance companies. SIGNING OF THE NOTARIAL DEED OF SALE By mutual agreement between the parties, the notarial deed reiterating this agreement shall be recorded by Maître Anne PIGNARD-EXBRAYAT, notary in CLUSES CEDEX (Haute-Savoie) The deed shall be issued latest However, this deadline shall automatically be extended by eight days after the last document necessary for the notary to draw up this deed has been obtained. This date is not extinctive but constitutes the starting point from which one of the parties may oblige the other to comply by means of a formal notice by registered letter with acknowledgement of receipt or by extrajudicial document. If, within fifteen days of this formal notice, the situation is not regularized, the following rules shall be applied: DEFAULT BY ONE OF THE PARTIES - PENALTY CLAUSE IN FAVOUR OF BOTH PARTIES If, all the conditions precedent having been fulfilled, one of the parties refuse, for any reason whatsoever, to sign the notarial deed and to fulfil his obligations within the above-mentioned period, the sale would by right be cancelled without any legal action being necessary, fifteen days after formal notice reminding fulfilment, by registered letter with acknowledgement of receipt, remained unsuccessful. The party victim of the other party’s default shall also have the possibility, at his sole choice, to act in enforcement of the sale before the competent court or to judicially apply for its rescission. In the event of sale rescission under the above conditions, either under the express rescission clause or under the judicial rescission clause, the party victim of the default shall be entitled, as a penalty clause, to a lump sum fixed at 10% of the sale price. In the event of default by the buyer, this amount shall be deducted, to the extent possible, from the advanced sum if it has been paid BUYER’S RETRACTION OPTION In accordance with the provisions of Article L. 271-1 of the Building and Housing Code, THE BUYER, not being a professional in real estate, may retract at his sole discretion, and without having to provide any justification, within ten (10) days as from the wake of presentation of this deed. The parties expressly mandate Maître Anne PIGNARD- EXBRAYAT, notary in CLUSES, drafter of this agreement, to make the notification. In the event of retraction within this period, this agreement shall lapse and may not be executed, even in part, and the custodian of the funds deposited by THE BUYER shall return them to him within twenty-one days as from the wake of the retraction date. In the event of several buyers, it is expressly agreed that the retraction of only one of them shall automatically entail the rescission of this agreement. In accordance with the second paragraph of Article L. 271-1 of the Building and Housing Code, the retraction must be: - by registered letter with acknowledgement of receipt or by any other means offering equivalent guarantees, such as electronic registered letter, extrajudicial document, or delivery by hand, in return for a receipt; - and addressed to Maître Anne PIGNARD-EXBRAYAT above-mentioned. DEATH In the event of the death of either party: - the successors of the SELLER shall be bound to execute this agreement, - the successors of THE BUYER shall have the option: - either to continue the sale, - or to be totally freed from the commitments pursuant to this agreement without compensation, and any security deposit shall be returned unconditionally to THE BUYER or his assigns. AGENCY COMMISSION The BUYER acknowledges that he owes LEGGETT IMMOBILIER - 42 Rue de Ribérac - 24340 La Rochebeaucourt, the sum of THIRTY SEVEN THOUSAND FIVE HUNDRED EUROS ( €37,500.00) all taxes included, as negotiation fees. It is hereby indicated that the BUYER mandates the notary to pay this amount to the above-mentioned real estate agency during the signing of the notarial deed. PROVISIONAL AMOUNT FOR EXPENSES AND REMUNERATION IN THIS AGREEMENT The BUYER shall pay the costs of this deed and those resulting from it or its consequence. As a provisional amount for expenses, the BUYER today deposits into the departmental account of the notary drafting this document, the sum of FOUR HUNDRED EUROS ( €400.00). He hereby authorizes the notary to deduct from the sum any necessary costs incurred in research, correspondence, request documents, miscellaneous documents, letter of purge of pre-emption prior to the sale and completion of any formality with a view to the establishment of the notarial deed, under the conditions and deadlines provided for herein. In the event of a reiteration of this deed by notarial deed, this sum shall constitute, up to the amount disbursed for paying formalities for the establishment of the notarial deed reiterating this agreement, an advance of the costs of the notarial deed, the amount of which is indicated herein on a provisional basis. In the event of non-reiteration of this agreement by notarial deed, this sum shall be fully acquired by the notary as a lump sum, both for the expenses and fees for prior formalities incurred when requesting documents and remuneration agreed below. THE SELLER declares: - that to the best of its knowledge, THE PROPERTY is free of any legal, contractual or administrative obstacles, - not to have assigned or granted any property rights, nor regularized any other preliminary contract; THE BUYER declares that he has visited the PROPERTY and has been accompanied by knowledgeable persons in order to appreciate the building’s condition, consistency, environment and neighbourhood and he is unaware of a previous sale or preliminary agreement. The parties declare: - that prior to the conclusion of this agreement, they had exchanged all information known to them that could have a decisive influence on their respective decision to enter into a contract, whether or not there is a special relationship of trust between them; - that they were also required to inform themselves through all easily accessible information; - that they are fully aware that any failure to comply with this obligation is likely to engage the liability of the offending party. PREFERENTIAL AGREEMENT - DELARATORY ACTI ON THE SELLER declares that there is no preferential agreement. If, despite this declaration, it is revealed that a preferential agreement exists, the notary drafting this agreement informs the parties that, pursuant to Order No. 2016-131 of 10 February 2016, a third party and in particular the BUYER may ask the beneficiary of the preferential agreement to confirm the existence and whether he intends to take action thereon. This request must be made in writing and the third party must set a reasonable deadline for the beneficiary of the agreement to respond to the request.
