8.1 The MANAGER agrees to use its best efforts, skill and judgement and all due care in performing its duties and obligations under this agreement and the authority granted to it provided that it shall not, in the absence of negligence, wilful default, bad faith or fraud on its part, be liable for any loss or damage sustained or suffered by the PRINCIPAL.
8.2 The PRINCIPAL agrees to indemnify the MANAGER and its directors from and against any and all liabilities, obligations, losses, damages, penalties, actions, judgements, suits, costs, expenses or disbursements of any kind or nature whatsoever (other than those resulting from negligence, wilful default, bad faith or fraud on the part of the MANAGER and its directors, or on the part of their servants or agents) which may be imposed on, incurred by or asserted against the MANAGER in performing its obligations or duties under this agreement.
Article 9 - Termination
9.1. Each party to this agreement may for itself without such notice as is referred to in clause 3.2 terminate this agreement at any time by giving notice in writing to its counter party in any of the following events:
9.1.1 if (i) the counter party files a request for a moratorium, (ii) a request for bankruptcy has been filed with respect to the other party, (iii) a request for liquidation has been filed or a decision to that purpose has been taken (except a voluntary liquidation for the purpose of reconstruction or amalgamation upon terms previously in writing by the other party), (iv) an agreement has been reached between the counter party and its creditors, or (v) if some event having an equivalent effect occurs;
9.1.2 if the counter party shall commit any material breach of its obligations under this agreement and (if such breach shall be capable of remedy) shall fail, within thirty days of receipt of notice served by the party requiring it so to do, to make good such breach;
9.1.3 at any time by notice in writing, if (i) any real estate of the PRINCIPAL is transferred, or if (ii) any shares in the capital of the PRINCIPAL or the MANAGER are transferred.
9.2 On termination of the Agreement under the provisions of the preceding paragraph 9.1.1 and 9.1.2, the counter party shall be entitled to compensation in respect of such termination, which will be agreed upon separately.
9.3 On termination of the Agreement under the provisions of the paragraph 9.1.3, the other party shall be entitled to receive all fees and other moneys accrued due up to the date of such termination, but shall not be entitled to compensation in respect of such termination.

8.2 Ο ΕΝΤΟΛΕΑΣ συμφωνεί να αποζημιώσει τον ΔΙΑΧΕΙΡΙΣΤΗ και τους διευθυντές του για κάθε ευθύνη, υποχρέωση, απώλεια, ζημία, κύρωση, ενέργεια, απόφαση, αγωγή, δαπάνη, έξοδο ή πληρωμή οποιουδήποτε είδους ή τύπου (πλην εκείνων που οφείλονται σε αμέλεια, δόλο, κακή πίστη ή απάτη εκ μέρους του ΔΙΑΧΕΙΡΙΣΤΗ και των διευθυντών του ή εκ μέρους των προστηθέντων ή αντιπροσώπων τους) που μπορεί να επιβληθεί, επιδικαστεί ή απαιτηθεί σε βάρος του ΔΙΑΧΕΙΡΙΣΤΗ κατά την εκτέλεση των υποχρεώσεων ή των καθηκόντων του δυνάμει της παρούσας σύμβασης.
Άρθρο 9 – Καταγγελία
9.1 Κάθε μέρος της παρούσας σύμβασης δύναται να καταγγείλει για ίδιο λογαριασμό την παρούσα σύμβαση οποτεδήποτε, χωρίς την τήρηση της προθεσμίας που αναφέρεται στη ρήτρα 3.2, με την κοινοποίηση έγγραφης καταγγελίας στον αντισυμβαλλόμενό του σε οποιαδήποτε από τις ακόλουθες περιπτώσεις:
9.1.1 Εάν (i) ο αντισυμβαλλόμενός του καταθέσει αίτηση παύσης πληρωμών, (ii) έχει κατατεθεί αίτηση πτώχευσης του εν λόγω αντισυμβαλλομένου, (iii) έχει κατατεθεί αίτηση εκκαθάρισης ή έχει εκδοθεί σχετική απόφαση (πλην της περίπτωσης εκούσιας εκκαθάρισης με σκοπό την ανασυγκρότηση ή συγχώνευση βάσει προγενέστερων έγγραφων όρων του αντισυμβαλλομένου), (iv) έχει καταρτιστεί συμφωνία μεταξύ του αντισυμβαλλομένου και των πιστωτών του ή (v) εάν συμβεί κάποιο άλλο γεγονός ισοδύναμου αποτελέσματος.
9.1.2 Σε περίπτωση που ο αντισυμβαλλόμενος αθετήσει ουσιωδώς τις υποχρεώσεις του από την παρούσα σύμβαση και (εφόσον είναι δυνατή η αποκατάσταση των πραγμάτων) παραλείψει να επαναφέρει τα πράγματα στην προτέρα κατάσταση εντός τριάντα ημερών από την παραλαβή σχετικής όχλησης κοινοποιούμενης σε αυτόν από τον καταγγέλλοντα.
9.1.3 Οποτεδήποτε με έγγραφη καταγγελία, σε περίπτωση (i) μεταβίβασης ακινήτων του ΕΝΤΟΛΕΑ ή (ii) μεταβίβασης μετοχών του κεφαλαίου του ΕΝΤΟΛΕΑ ή του ΔΙΑΧΕΙΡΙΣΤΗ.
9.2 Σε περίπτωση καταγγελίας της Σύμβασης δυνάμει των διατάξεων των προηγούμενων παραγράφων 9.1.1 και 9.1.2, ο αντισυμβαλλόμενος του καταγγέλλοντος θα δικαιούται αποζημίωση λόγω της καταγγελίας, η οποία θα συμφωνηθεί αυτοτελώς.
9.3 Σε περίπτωση καταγγελίας της Σύμβασης βάσει των διατάξεων της παραγράφου 9.1.3, ο αντισυμβαλλόμενος του καταγγέλλοντος θα δικαιούται να λάβει κάθε αμοιβή και κάθε άλλο ληξιπρόθεσμο χρηματικό ποσό που του οφείλεται κατά την ημερομηνία της εν λόγω καταγγελίας αλλά δεν θα δικαιούται αποζημίωση λόγω της καταγγελίας.

3.1. Έναντι των υπηρεσιών του μισθωτού η Εταιρία θα καταβάλλει σ' αυτόν το συνολικό ποσό μηνιαίως των _____ (____) _____ επί του οποίου θα γίνονται οι νόμιμες κρατήσεις. Στο ανωτέρω ποσό συμπεριλαμβάνονται τα πάσης φύσεως επιδόματα.
Ρητά συμφωνείται ότι ο ως άνω μηνιαίος μισθός/ημερομίσθιο καλύπτει την ισχύουσα ή μέλλουσα να ισχύσει νόμιμη αμοιβή, τα πάσης φύσεως τυχόν εκ των κειμένων διατάξεων παρεχόμενα επιδόματα και αποζημιώσεις και δη:
α. Προσαύξηση λόγω πολυετούς υπηρεσίας στον αυτόν ή άλλον εργοδότη.

γ. Επίδομα τυχόν ανθυγιεινής εργασίας.
Εκτός του ανωτέρου μισθού και των υπό του νόμου προβλεπόμενων δώρων εορτών και επιδόματος αδείας, ο μισθωτός καμία, από οποιαδήποτε άλλη αιτία, άλλη πρόσθετη αμοιβή ή αποζημίωση δικαιούται να απαιτήσει από την Εταιρία του.
Οι πάσης φύσεως αποδοχές θα καταβάλλονται δεδουλευμένες και στο τέλος εκάστου μηνός. Η καταβολή θα γίνεται είτε στους τόπους εργασίας είτε στα Γραφεία του Ελληνικού Υποκαταστήματος της Εταιρίας. Η Εταιρία δικαιούται να καταβάλει και νωρίτερα τις αποδοχές, χωρίς αυτό να δύναται να θεωρηθεί (όσο χρόνο και να εφαρμοσθεί) ότι αποτελεί παραίτηση της Εταιρίας από το συμφωνημένο με την παρούσα τρόπο καταβολής.
3.2. Σε τυχόν διαφορά μεταξύ των εκάστοτε πράγματι καταβαλλόμενων αποδοχών και του εκάστοτε νομίμου μισθού, συμψηφίζονται οποιαδήποτε επιδόματα ή παροχές πάσης φύσεως, που τυχόν δικαιούται ο μισθωτός εκ Σ.Σ.Ε. ή Δ.Α. και εξ οποιασδήποτε άλλης αιτίας, επίσης και κάθε νέα υπό του νόμου ή Σ.Σ.Ε. ή Δ.Α. ή "άλλως πως" καθορισθησόμενη παροχή.

9. ΥΠΟΧΡΕΩΣΗ ΠΙΣΤΗΣ
9.1. Ο μισθωτός αναλαμβάνει την υποχρέωση κατά τη διάρκεια της σύμβασης εργασίας αλλά και μετά τη λήξη αυτής:
α. Να τηρεί την εμπιστευτικότητα των πληροφοριών, εμπορικών μυστικών, επιχειρησιακών σχεδίων ή οποιωνδήποτε άλλων στοιχείων, εγγράφων ή πραγμάτων που σχετίζονται προς τις δραστηριότητες της Εταιρίας ή άλλων συγγενών Εταιριών, εκτός των περιπτώσεων όπου αυτό επιτρέπεται από την ίδια την Εταιρία ή το Νόμο. Ο μισθωτός αναλαμβάνει επίσης την υποχρέωση να παραδώσει στην Εταιρία με τη λήξη της σύμβασης όλα τα στοιχεία, έγγραφα, ντοκουμέντα κλπ. που έχει στην κατοχή του, έστω και αν αυτά εκπονήθηκαν από τον ίδιο.
β. Να αποφύγει οποιαδήποτε εμπλοκή των προσωπικών του συμφερόντων με τα συμφέροντα της Εταιρίας κατά τις συναλλαγές με προμηθευτές, πελάτες και οποιονδήποτε τρίτο που διατηρεί ή επιδιώκει την ανάπτυξη εμπορικών σχέσεων με την Εταιρία ή οποιαδήποτε συγγενή Εταιρία.
9.2. Στην περίπτωση κατά την οποία οποιοδήποτε εκ των συμβαλλομένων μερών καταγγείλει τη σύμβαση για λόγους που δεν ανάγονται σε υπαιτιότητα της Εταιρίας, ο μισθωτός υποχρεούται για μία τουλάχιστον διετία να μην παρέχει τις υπηρεσίες του καθώς και τις γνώσεις που απέκτησε κατά τη διάρκεια παραμονής του στην Εταιρία, σε άλλη ανταγωνιστική επιχείρηση ή και σε πελάτες/προμηθευτές της Εταιρίας, χωρίς τη γραπτή συγκατάθεση της Εταιρίας. Στην περίπτωση που ο μισθωτός παραβεί την ως άνω υποχρέωσή του και αναλάβει υποχρεώσεις από αυτές που αναφέρονται ανωτέρω, τότε θα υποχρεούται να καταβάλει στην Εταιρία κάθε θετική και αποθετική ζημία που αποδεδειγμένα υπέστη η τελευταία από την αντισυμβατική αυτή συμπεριφορά του μισθωτού.

3.1. In consideration of the Employee's services, the Company shall pay him the total monthly amount of ______ (_____) _____, which shall be subject to deductions. This amount includes all benefits, whatever their nature.
It is expressly agreed that the foregoing monthly salary/daily wage shall cover any minimum wage currently or in the future provided by law, any benefits and any compensation provided by law, whatever their nature, and, in particular:
(a) any additional remuneration due to the Employee’s long-term employment by the same or another employer;
(b) any additional remuneration provided by law due to family responsibilities;
(c) any unhealthy occupation benefits.
Apart from the foregoing salary and the holiday bonuses provided by law, the Employee may not demand from his Company any other, additional remuneration or compensation for any other reason whatsoever.
All remuneration, whetever its nature, shall be accrued and paid at the end of each month. Payment shall take place either at the respective places of work or at the offices of the Greek branch of the Company. The Company may pay the Employee’s remuneration earlier; however, such early payment shall not amount to a waiver on the part of the Company payment method agreed herein.
3.2 The Company may pay additional benefits where appropriate and at its absolute discretion, depending on its economic progress, the accomplishment of targets by the Employee’s department and the accomplishment of targets regarding the Employee’s job. Such extra benefits and any other additional benefits that have been or shall be granted by the Company on a voluntary or discretionary basis may be freely withdrawn or modified by the Company at any time, especially if their cause has ceased to exist, or if a salary, bonus or other benefit increase stipulated by law, Collective Labour Agreements or otherwise, has been granted.

9. DUTY OF LOYALTY
9.1. The Employee shall be bound by a duty of loyalty during the term of his employment contract and after its termination, which entails the following:
(a) Maintaining confidentiality of information, trade secrets, business plans or any other data, documents or things in connection to the activities of the Company or other affiliated companies, except for cases where this is permissible either by the Company or by law. Upon termination of his contract, the Employee must also deliver to the Company any data, documents, records etc. that he possesses, even if they have been prepared by himself.
(b) Avoiding any involvement of his personal interests with Company interests in connection to transactions with suppliers, clients and any other third parties that maintain or seek to establish business relations with the Company or any affiliated company.
9.2. If any of the contracting parties terminates the contract for reasons not attributable to Company fault, the Employee shall be under obligation for a minimum of two years not to provide his services and the knowledge he gained during his employment with the Company to any other competitive businesses or to any clients or suppliers of the Company without written consent of the Company. If the Employee breaches his foregoing obligation and assumes duties such as those referred to above, he shall be liable to compensate the Company for any direct and consequential damage that it evidently suffered as a result of such conduct constituting a contractual breach on the part of the Employee.

I started translating as a law student and enjoyed it tremendously. As a practising attorney who often worked with foreign clients, I was frustrated at the subpar
quality of legal translations offered by translation agencies. I ended up translating critical documents such as contracts and court briefs myself. When I stopped practising law, I continued translating either full-time or part-time to this day.
Producing accurate texts in both Greek and English is part of my professional training. Apart from my linguistic skills, my strength as a legal translator lies in the deep understanding of both the Greek legal system and Common Law, which is the legal system of most English-speaking territories, such as the UK, US and Australia. Many concepts of common law do not exist at all in civil law jurisdictions like Greece--and vice versa. Therefore, a competent legal translator has to be able to come up with appropriate terminology that actually makes sense. Due to the complexity of legal concepts and wording, only an experienced lawyer is able to produce a final text which is precise, unambiguous and blunder-free. During my career, I have seen too many cringe-worthy English<->Greek translations produced even by experienced translators who nevertheless lacked legal training. Legal translations between languages of different legal systems involve much more than simply translating the technical jargon.
Poor legal translations can be very costly or even catastrophic for an unsuspecting client. As part of my services, I work closely with my clients to ensure that the appropriate meaning is conveyed, alerting them to any inconsistencies or other problems that I spot in the source documents or translations.
My legal translation rates reflect my unrivalled expertise and vary somewhat depending on volume, complexity and urgency, but generally start at EUR 0.08 per source word for translating and EUR 0.04 per source word for proofreading/editing or EUR 40 per hour. Certified translations are also available at extra cost.
